Terms of Service

These Terms govern your access to and use of Health on Cloud LLC, doing business as SHA LMS (“SHA LMS,” “we,” “our,” or “us”). Our Services are offered subject to your acceptance, without modification, of all the terms and conditions contained herein and all other operating rules, policies (including, without limitation, SHA LMS Privacy Policy), and procedures that may be published from time to time by us. You agree that we may automatically upgrade our Services, and the Agreement will apply to any upgrades. Please read the Agreement carefully before accessing or using our Services. By accessing or using any part of our Services, you agree to become bound by the Agreement. If you do not agree to all the terms of the Agreement, then you may not access or use our Services.

1. User Account

We collect information in several ways, including when you provide it directly, when it is automatically collected through your use of the Services, and from third-party sources.

Where use of our Services requires an account, you agree to provide us with complete and accurate information when you register and keep the information current. This is important because we may need to send you updates (e.g., changes to our Terms of Service or Privacy Policy) or inform you of legal inquiries or complaints.

You are solely responsible for all activity under your account. This includes:

• Keeping your account information up to date and your password secure.
• Ensuring the security of any content, store, or website associated with your account.
• Not sharing or misusing your access credentials.
• Immediately notifying us of any unauthorized use of your account or security breaches.

We will not be liable for any loss or damage arising from your failure to comply with these obligations.

2. Prohibitied Activies

You agree not to:

• Retrieve, copy, distribute, or scrape data from the Site without permission.
• Use automated systems, data mining, robots, or similar data extraction tools.
• Interfere with, disrupt, or compromise network security.
• Upload or transmit malicious software, including viruses, worms, or Trojan horses.
• Copy, modify, or distribute our software.
• Use our Services for commercial purposes without our approval.
• Submit false reports, transmit spam, or abuse support channels.
• Access content through unauthorized technologies.
• Impersonate others or commit fraud.
• Collect user data through unauthorized methods.
• Violate applicable laws and regulations, including those related to privacy, data protection, unfair competition, and false advertising.
• Infringe or misappropriate the intellectual property rights of third parties.
• Overburden our systems, as determined by us.
• Disclose sensitive personal information of others.
• Send spam or bulk unsolicited messages.

3. Responsibility of Visitors and Users

We do not review all content posted by users and are not responsible for any content’s accuracy, usefulness, or potential harm. Users assume responsibility for:

• Ensuring the content they post is lawful and does not infringe on others’ rights.
• Protecting themselves and their systems from harmful content such as viruses or malware.
• Exercising caution when using third-party links found on our Services.

We are not liable for any damages resulting from reliance on or use of user-generated content.

4. Payment, Fees, and Refunds

a. Payment

We offer access to individually paid courses on SHA LMS. If your payment fails or is not processed on time, we may revoke your access immediately. If you dispute a charge with your bank or credit card company, we may revoke your access to all Services.

b. Fee Changes

We may modify fees or introduce charges for previously free Services. Where applicable, we will provide advance notice. If you do not agree to the changes, you must discontinue using the affected paid Services before the next billing cycle.

c. Refunds

Cancellations for individually paid courses take effect at the end of the billing period. We do not offer refunds. To cancel, users must contact us directly via email.

5. Copyright Infringement

We respect intellectual property rights and expect our users to do the same. If you believe content on our platform infringes your copyright, please notify us, and we will take appropriate action, including content removal if necessary. Repeat infringers may have their access terminated without refund.

6. Intellectual Property

This Agreement does not transfer any intellectual property from SHA LMS to you. SHA LMS retains all rights, titles, and interests in its trademarks, service marks, content, and technology. You are not permitted to reproduce, sell, license, republish, rent, modify, copy, transmit, publicly display, edit, or create derivative works of SHA LMS content.

7. Changes

We may update these Terms from time to time. Material changes will be communicated through notices on our website, email, or other means before they take effect. If you do not agree to the changes, you must stop using our Services. Continued use of our Services after updates constitutes acceptance of the new Terms.

8. Limitation of Liability

SHA LMS, its employees, directors, affiliates, agents, and licensors are not liable for any direct, indirect, incidental, consequential, or punitive damages, including loss of profit or data, arising from your use of our Services.

9. Indemnity

You agree to indemnify and hold SHA LMS, its affiliates, employees, and agents harmless from any claims, damages, liabilities, or expenses arising from:

• Your use of our Services.
• Your violation of these Terms.
• Your infringement on third-party rights.

10. Jurisdiction and Applicable Law

This Agreement is governed by the laws of Seoul, Republic of Korea. Any disputes arising under this Agreement shall be resolved in a court with jurisdiction over SHA LMS in Seoul, Republic of Korea.

11. Miscellaneous

• This Agreement constitutes the entire agreement between SHA LMS and you.
• If any part of this Agreement is deemed invalid, the remaining provisions remain in full force.
• A waiver of any term or condition does not constitute a future waiver.
• You may not assign your rights under this Agreement without our consent. We may assign our rights without restriction.
